L&F Acquisition Corp. was a blank-check company incorporated as a Cayman Islands exempted company targeting the technology sector, specifically enterprise software and cybersecurity. It was led by Chairman and CEO Corporate leadership teams alongside prominent sponsor members.

Listing History: The company's IPO closed in November 2020. The warrants subsequently began separate trading on the New York Stock Exchange (NYSE) under the symbol LNFA.WS.

Business Combination: On August 3, 2022, the company completed its business combination with ZeroFox, Inc., an enterprise software-as-a-service (SaaS) leader in external cybersecurity, alongside the acquisition of IDX, a digital privacy and data breach response service. Upon closing, the combined entity was renamed ZeroFox Holdings, Inc.

Ticker Change: The warrants ceased trading under the symbol LNFA.WS and transitioned to the Nasdaq Capital Market under the new ticker symbol ZFOXW (with common stock under ZFOX).

Reverse Split Adjustment: On February 16, 2024, ZeroFox Holdings implemented a 1-for-10 reverse stock split. Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
