connection with a prospectus offering of
units at $4.60 per unit, each unit
comprising one common share and one-half

Each whole warrant entitles the holder
to purchase one common share of the
company at a price of $6 per share until
5 p.m. (Toronto time) on April 17, 2010.
The warrants will be governed by the
terms of a warrant indenture to be dated
April 17, 2008, between the company and
CIBC Mellon Trust Co., as the warrant
agent. The warrant indenture provides
for appropriate adjustments to the
warrants in the event of stock
dividends, subdivisions, consolidations
and other forms of capital
reorganization.
