The warrants are being issued in connection with a prospectus offering of units by the company, each unit consisting of one common share and one-half of a warrant. Each whole warrant will entitle the holder to purchase one additional common share of the company at a price of $1 at any time before 5 p.m. (Toronto time) on the date that is three years following the closing of the offering. After the date which is six months following the closing of the offering, in the event that the common shares of the company trade on the Toronto Stock Exchange at a volume weighted average price of $1.50 or more for a period of at least 20 consecutive trading days, the company shall be entitled to accelerate the exercise period to a period ending at least 30 days from the date notice of such acceleration is provided to the holders of warrants.
The warrants will be created and issued pursuant to the terms of a warrant indenture between the company and Equity Transfer & Trust company Inc., as warrant agent. The warrant indenture will contain provisions designed to protect the holders of warrants against dilution upon the occurrence of certain events.
