Nature of business: The company is a mineral exploration company focused on the acquisition, exploration and development of properties for the mining of gold, nickel and other minerals. Through its subsidiary Rio Condor SA, the company holds has an option to acquire a 100-per-cent interest in the Rosario and Tamara properties located in Chile by paying $10.4-million (U.S.) over four years. The Rosario property is subject to a 2-per-cent net smelter royalty (NSR), which may be purchased for $2-million (U.S.). The Tamara property is subject to a 2-per-cent NSR, which may be purchased for $300,000 (U.S.).
Through Rio Condor, the company also holds: (i) an option to acquire a 100-per-cent interest (subject to a 2-per-cent NSR which may be purchased for $1-million (U.S.)) in the Soesmi property in Chile by paying $1-million (U.S.) over four years; and (ii) an option to acquire a 100-per-cent interest in the Simonetta property in Chile by paying $1-million (U.S.) over four years.

The company also currently holds a 100-per-cent interest, subject to an NSR ranging between 1 per cent and 2 per cent, in the property known as McCart property, comprising five mineral claims covering an area of approximately 534 hectares located near Timmons, Ont.

Dividends: The company has never paid or declared any cash dividend on its common shares since incorporation. Any declared dividends in the future will be at the discretion of the board of directors.

Bridgeport Ventures Inc.'s initial public offering prospectus dated Sept. 25, 2009, has been filed with and accepted by the TSX Venture Exchange, and filed with and receipted by the Ontario Securities Commission on Sept. 25, 2009, pursuant to the provisions of the Ontario Securities Act.

The gross proceeds received by the company for the offering were $1.2-million (six million units at 20 cents per unit). Each unit comprises one common share and one warrant to purchase one share in the company at 50 cents per share for up to five years from the date of closing. The company is classified as a mining company.

Commence date: At the opening Friday, Oct. 9, 2009, the common shares and share purchase warrants will commence trading on the TSX Venture Exchange.
