The warrants were issued pursuant to a recent private placement where 19.25 million special warrants were sold at a price of $6.50 per special warrant. Each special warrant comprises a unit, which in turn comprises one common share and one-half of one warrant. Each whole warrant entitles the holder to purchase one additional share of the company at a price of $7.90 at any time prior to 5 p.m. (Toronto time) on Nov. 15, 2009. The shares and the warrants comprising the units separated at the closing of the offering, which occurred on Nov. 15, 2007. The company has filed a prospectus dated Dec. 21, 2007, qualifying the issuance of the shares and warrants comprising the special warrants.
The warrants are governed by the terms of a warrant indenture dated Nov. 15, 2007, between the company and CIBC Mellon Trust Company, as trustee. The warrant indenture provides for appropriate adjustments to the warrants in the event of stock dividends, subdivisions, consolidations and other forms of capital reorganization.
