Cresco raises $1.19M from offering overallotment option

In connection with a previously announced $73.5-million underwritten unit offering that closed Sept. 24, 2019, Cresco Labs Inc. has issued an additional 551,250 share purchase warrants at a price of $2.16 per additional warrant for gross proceeds of $1,190,700, pursuant to the partial exercise of the underwriters' overallotment option. The aggregate gross proceeds of the offering, including the overallotment option, total $74,690,700.

Each additional warrant entitles the holder to acquire one subordinate voting share of the company at a price of $12.50 per share, subject to adjustment in certain circumstances, for a period of three years following the closing of the offering. The additional warrants have been approved for listing with the Canadian Securities Exchange under the symbol CL.WT and will begin trading on Oct. 24, 2019.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
