Eupraxia warrants to trade on TSX

The Toronto Stock Exchange reports that Eupraxia Pharmaceuticals Inc. warrants will be listed and posted for trading at the open on April 20, 2022, under the symbol EPRX.WT.A and with Cusip No. 29842P 13 9. As stated in its prospectus supplement dated April 14, 2022, to the short form base shelf prospectus dated Jan. 10, 2022, the company will issue up to 6,387,000 units at $2.05 per unit, with each unit consisting of one share and one warrant of the company.

According to the TSX, each warrant will be exercisable at $3 per share and will expire at 5 p.m. Toronto time on the date that is 48 months after the closing of the offering. The TSX has issued a separate bulletin regarding the listing of the shares underlying the units.

Eupraxia Pharmaceuticals closes $41-million IPO

Eupraxia Pharmaceuticals Inc. has completed its initial public offering of 5,125,000 units of the company at a price of $8 per unit for gross proceeds to the company of $41-million.

Each unit consists of one common share in the capital of the company and one-half of one common share purchase warrant of the company. Each warrant is exercisable into one common share of the company at an exercise price of $11.20 per warrant share at any time prior to 5 p.m. (Toronto time) on March 9, 2026, subject to adjustment in certain events. The warrants include an acceleration provision, exercisable at the company's option, if the company's daily volume weighted average share price is greater than $22.40 for five consecutive trading days.

The common shares and warrants will commence trading today on the Toronto Stock Exchange under the symbols EPRX and EPRX.WT, respectively.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
