In connection with the offering, investors had the option of subscribing for the offering in U.S. dollars or Canadian dollars. The TSX Venture Exchange has conditionally approved the listing of the common shares issued under the offering for trading in Canadian dollars under the symbol FCA, alongside the corporation's existing common shares that trade in U.S. dollars under the symbol FCA.U. The TSX-V has also approved the listing of the offered warrants for trading in U.S. dollars under the symbol FCA.WT.U. The offering remains subject to the final approval of the TSX-V.

Effective May 25, 2017, the company's short form prospectus dated May 19, 2017, was filed with and accepted by the TSX Venture Exchange, and effective May 23, 2017, was filed with and receipted by the British Columbia, Alberta, Saskatchewan, Manitoba, New Brunswick, Nova Scotia, Prince Edward Island, Newfoundland and Labrador, and Ontario securities commissions, pursuant to the provisions of the respective securities acts.

Warrant exercise price/term: Each warrant entitles the holder to acquire one common share at a price of $8.50 (U.S.) for a period of three years.

The warrants of the company will be listed and admitted to trading on the TSX Venture Exchange on the effective date as stated below.

Commencement date: At the opening on Monday, May 29, 2017, the warrants will commence trading on the TSX Venture Exchange.

The TSX-V has also conditionally approved the listing of the offered warrants for trading in U.S. dollars under the symbol FCA.U.WT. The completion of the offering remains subject to the final approval of the TSX-V.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
