Golden Queen Mining closes $16.12-million bought deal

Golden Queen Mining Co. Ltd. has closed its previously announced bought deal offering of units of the company. Pursuant to the offering a total of 11.12 million units of Golden Queen were sold at a price of $1.45 per unit for aggregate gross proceeds of $16,124,000. The offering was made through a syndicate of investment dealers led by Cormark Securities Inc. and included M Partners Inc. The units sold include 1.45 million units pursuant to the exercise, in full, of the overallotment option that was granted to the underwriters. Each unit consists of one common share of the company and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire one additional common share of the company at a price of $2 per share until July 25, 2019.

The warrants will be listed on the Toronto Stock Exchange under the symbol GQM.WT and will commence trading today.

Golden Queen to list 5.56 million warrants July 25

Golden Queen Mining Co. Ltd. will list 5.56 million warrants for trading at the open on July 25, 2016, according to the Toronto Stock Exchange. The TSX reports this listing will cover the warrants forming part of the 11.12 million units to be sold to the public at $1.45 per unit. As stated in the company's July 18, 2016, prospectus supplement, each unit will consist of one share and one-half warrant, with each whole warrant being exercisable at $2 per share until 5 p.m. (Vancouver time) on the date that is three years following the closing of the offering. The TSX reports the warrants will trade under the symbol GQM.WT and Cusip No. 38115J 11 8.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
