The above action is the result
of the recently effected plan of
arrangement involving the
company and Peak Gold Ltd.
(TSX-V: PIK) as described in the
notice and management proxy
circular of Peak Gold dated May
16, 2008, whereby each holder of
Peak Gold common shares became
entitled to receive 0.1 of a
common share of the company and
0.01 cent in cash for every Peak
share held. As a result of the
arrangement, each warrant now
entitles the holder upon
exercise to receive 0.1 of a New
Gold share and 0.01 cent in cash
for a price of $1.50. The expiry
date of the warrants remains 4
p.m. (Toronto time) on April 3,
2012. The equivalent exercise
price for one full New Gold
share (and 0.01 cent) is
approximately $15.00.
No fractional New Gold shares
will be issued upon the exercise
of a warrant. If the number of
New Gold shares to which a
holder of warrants would
otherwise be entitled upon the
exercise of a warrant is not a
whole number then the number of
New Gold shares to be issued
shall be rounded down to the
next whole number and the holder
of such warrant shall not be
entitled to any compensation in
respect of any fractional New
Gold shares.
No action is required by holders
of warrants with respect to the
adjustments above under the
arrangement and the certificates
currently representing the
warrants will continue to
evidence the rights outlined
above. New warrant certificates
will be issued upon transfer,
upon partial exercise of a
warrant certificate or at the
request of holders of warrants.
The warrants will be governed by
the original warrant indenture
dated Aug. 1, 2007, as amended
by a supplemental warrant
indenture dated June 30, 2008,

stock dividends, subdivisions,
