Northquest to extend 2010-I warrants by one year

Northquest Ltd. will make an application to the TSX Venture Exchange to extend the term of its 2010-I warrants (as defined below) to Dec. 22, 2015. An aggregate of 1,044,996 Series 2010-I warrants was originally issued on Dec. 22, 2010, and was initially exercisable at $1 per share until 5 p.m. (Toronto time) on Dec. 22, 2012. The expiry date of the 2010-I warrants was subsequently extended to Dec. 22, 2014. The exercise price of the 2010-I warrants will remain the same.

The warrant amendments have been approved by the board of directors of Northquest. The warrant amendments remain subject to TSX-V approval.

Northquest Ltd.'s initial public offering (IPO) prospectus dated Dec. 15, 2009, has been filed with and accepted by the TSX Venture Exchange, and filed in Ontario, British Columbia and New Brunswick, and receipted by the securities regulator in each of these jurisdictions, pursuant to the provisions of the securities legislations in each of these jurisdictions.

The gross proceeds received by the company for the offering were $1.4-million (seven million units at 20 cents per unit). The company is classified as a mineral exploration/development company.

Commence date: At the opening, Dec. 23, 2009, the common shares and share purchase warrants will commence trading on the TSX Venture Exchange

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
