Effective March 18, 2014, the company's final prospectus dated March 17, 2014, was filed with and accepted by the TSX Venture Exchange, and filed with and receipted by the British Columbia and Ontario securities commissions, pursuant to the provisions of the applicable securities acts.

The prospectus has been filed under Multilateral Instrument 11-102, passport system, in Alberta, Saskatchewan, Manitoba, New Brunswick, Nova Scotia, Prince Edward Island, and Newfoundland and Labrador. A receipt for the prospectus is deemed to be issued by the regulator in each of those jurisdictions, if the conditions of the instrument have been satisfied.

The TSX Venture Exchange has been advised that closing occurred on March 26, 2014, for gross proceeds of $11,540,250.

Underwriters: Dundee Securities Ltd., Raymond James Ltd., Cantor Fitzgerald Canada Corp. and Macquarie Capital Markets Canada Ltd.

Offering: 25,645,000 units (Each unit consists of one share and one-half of one common share purchase warrant.)

Unit price: 45 cents per unit

Warrant exercise price/term: 65 cents per share at any time up until 5 p.m. (Vancouver time) on March 26, 2016

Underwriters' warrants: 1,535,340 non-transferable warrants exercisable to purchase one unit at 45 cents per unit at any time until 5 p.m. (Vancouver time) on March 26, 2016

Effective at the opening, Friday, March 28, 2014, the warrants of the company will commence trading on the TSX Venture Exchange. The company is classified as a mineral exploration/development company.
