Andromed Inc. will offer to shareholders of record on Oct. 21, 2004, rights to purchase shares of the company. One right will be issued for each common share held. One right and 18 cents are required to purchase one share. The expiry date for the rights offering is Nov. 12, 2004. As at Oct. 6, 2004, the company has 23,337,380 shares issued and outstanding.
Under a standby commitment agreement dated as of Oct. 6, 2004, SGF Sante Inc., Theratechnologies Inc., Gestion de portefeuille Natcan Inc. and SIPAR-Societe d'Investissements en Participations Inc. have agreed not to exercise their respective basic purchase rights or trade their rights. However, subject to certain conditions, they have agreed to purchase all the common shares not acquired by the rightsholders under the offering pursuant to the basic purchase rights or the supplemental purchase privilege, up to five million common shares. The maximum number of additional common shares that may be issued subsequent to the rights offering will be 5,244,978 shares.
Effective at the opening, Oct. 19, 2004, the shares of the company will trade ex-rights and the rights will commence trading at that time on a when-issued basis. The company is classified as a medical equipment company.
