Holders of ordinary shares of record as of the close of business on May 21, 1999, will be granted the right to subscribe for one unit for every eight ordinary shares held on such record date at a subscription price of $9.65 per unit. Each unit consists of one ordinary share and one ordinary share purchase warrant, one whole warrant entitling the holder to purchase one ordinary share at $10.20 from Dec. 15, 1999, until June 15, 2001. The rights are evidenced by transferable rights certificates registered in the names of holders of ordinary shares of record on the record date on the basis of one right for each ordinary share held, eight rights and the sum of $9.65 being required to subscribe for one unit. The rights will expire at 4 p.m. (local time) on June 15, 1999. The ordinary shares will commence trading on an ex-distribution basis at the opening on May 19, 1999, at which time the rights will be posted for trading on a when issued basis.
The Toronto Stock Exchange has conditionally approved the listing of warrants issuable on exercise of the rights following completion of the rights offering, subject to meeting all requirements of the exchange including distribution of the warrants to a minimum number of public holders. A further bulletin will be issued if and when the warrants are to be listed.
